Recticel announces that on 29 May 2019 its share capital has been increased following the exercise of (i) 15,814 warrants of the warrant plan issued on 29 April 2014 and (ii)  21,000 warrants of the warrant plan issued on 23 June 2015. This resulted in the issuance of 36,814 new ordinary shares, which will be admitted for trading on Euronext Brussels as of 03 June 2019.

At the Annual General Shareholders’ Meeting of Recticel, which took place this morning, all proposed resolutions on the agenda of the Ordinary General Shareholders’ Meeting were approved.


Recticel will distribute a gross dividend of EUR 0.24 per share, which will be paid on 03 June 2019.

Recticel NV announces that, after due consideration, in line with its fiduciary duties, of the unsolicited non-binding offer from Kingspan Plc to acquire Recticel’s Insulation and Flexible Foams divisions dated April 16, 2019 (the “FF/I Offer”), its Board of Directors (the “Board”) has unanimously decided to reject the FF/I Offer as it believes that it is not in the interest of its stakeholders to engage with Kingspan in this respect.

Recticel NV announces that, after an initial review of the unsolicited non-binding offer from Kingspan Plc to acquire Recticel’s Insulation division and Flexible Foam division dated April 16, 2019 (the “Offer”), it has found that the Offer is lacking a number of critical information items to allow Recticel’s Board of Directors to make an informed decision thereon, in line with its fiduciary duties. It has therefore submitted today a number of questions and clarification requests to Kingspan Plc.
